Terms of Service

1. Agreement to These Terms
These Terms of Service (the "Terms") form a binding agreement between Navigatr LLC, an Oklahoma limited liability company ("navigatr," "we," "us," or "our"), and the individual or organization that accesses or uses the navigatr mobile application, website, and related services (collectively, the "Service").
By creating an account, connecting a third party account, or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference and available at https://getnavigatr.io/privacy. If you do not agree, do not use the Service.
If you accept these Terms on behalf of an employer or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2. Beta Status of the Service
The Service is currently offered as a free, pre-release beta. You acknowledge and agree that:
- the Service is pre-release software and may contain defects, errors, and interruptions;
- features may be added, modified, or removed at any time without prior notice;
- the Service is provided with no service level commitment, uptime guarantee, or support obligation;
- we may suspend, limit, or discontinue the beta, in whole or in part, at any time; and
- participation in the beta does not entitle you to continued access when the Service becomes generally available, and continued access may then require a paid subscription under terms presented to you at that time.
Because the Service is in beta, you should not rely on it as your sole system of record. You are responsible for maintaining independent copies of any information that matters to your business.
If you provide feedback, suggestions, or feature requests, you grant us an unrestricted, perpetual, royalty-free right to use them without obligation or compensation to you.
3. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate registration information and to keep it current.
You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at security@getnavigatr.io if you suspect unauthorized use.
If your account is provisioned by an employer or organization, that organization may access, control, suspend, or delete your account and the data associated with it, and may designate an administrator with those rights.
4. Description of the Service
navigatr is a mobile-first field sales operating system for outside sales representatives. Depending on the features enabled for your account, the Service may allow you to:
- record, organize, and track prospect and customer interactions;
- generate geographic prospecting routes and lead lists using third party mapping and business listing data;
- connect a calendar in order to sequence appointments and field activity;
- connect an email account in order to associate correspondence with prospect and customer records; and
- produce pipeline reporting and activity analytics.
The Service is a productivity tool. We do not provide sales, legal, tax, or compliance advice, and we make no guarantee of any commercial result.
5. Google Account Integration and Limited Use
5.1 Connecting your Google Account
Connecting a Google Account is optional. If you choose to connect one, Google will present a consent screen identifying the specific permissions the Service requests before any access occurs. Those permissions are limited to Google Calendar access and Gmail message metadata. You may decline any permission, and you may revoke access at any time from within the Service or at https://myaccount.google.com/permissions.
5.2 How we use Google user data
We access Google user data only to provide and improve user-facing features that you have requested. Specifically:
- Google Calendar data is used to display your existing appointments, build and sequence field routes around them, and create or update calendar events at your direction.
- Gmail data is limited to message metadata, meaning headers such as sender, recipient, subject line, and timestamp, together with labels. It is used to log that a message occurred and to associate it with the relevant prospect or customer record.
We do not request access to Gmail message bodies or attachments. We do not store them and the Service cannot display them. Where you need to read a message, the Service links you to it in Gmail. Our users sell payment processing and routinely email merchant applications and banking documents. The Service is designed so that this content never enters our systems.
We request the narrowest permissions necessary to deliver these features.
5.3 Limited Use commitment
navigatr's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. In particular, we do not:
- use Google user data to serve advertisements;
- sell Google user data;
- use Google user data to develop, improve, or train generalized artificial intelligence or machine learning models;
- transfer Google user data except as necessary to provide or improve user-facing features that are prominent in the Service, to comply with applicable law, or as part of a merger, acquisition, or sale of assets with notice to you; or
- allow humans to read Google user data, unless we have your affirmative agreement for specific messages, it is necessary for security purposes such as investigating abuse, it is required to comply with applicable law, or the data has been aggregated and de-identified.
5.4 Revocation, retention, and deletion
Revoking access ends our ability to obtain new data from your Google Account. When you disconnect a Google Account or delete your navigatr account, we delete the Google user data described in Section 5.2. You may also request deletion of specific records at any time by writing to privacy@getnavigatr.io. We will act on a verified deletion request within thirty (30) days, except where retention is required by applicable law. Google user data is encrypted in transit and at rest.
6. Mapping and Business Listing Data
The Service uses Google Maps Platform, including the Places API, to generate routes and prospecting lists. By using those features, you are also bound by the Google Terms of Service at https://policies.google.com/terms and the Google Maps/Google Earth Additional Terms of Service at https://www.google.com/help/terms_maps/.
Business listing information, addresses, hours, categories, routes, and estimated travel times are supplied by third parties, are provided for planning purposes only, and may be inaccurate, incomplete, or out of date. You are responsible for independently verifying any information before acting on it.
You may not extract, retain beyond permitted limits, resell, redistribute, or use mapping or listing content obtained through the Service to create or improve a competing mapping or business listing dataset or product.
7. Acceptable Use
You agree not to, and not to permit any person to:
- use the Service to send unsolicited commercial communications in violation of the CAN-SPAM Act, the Telephone Consumer Protection Act, applicable do-not-call rules, or any comparable law;
- record any call, conversation, or meeting through or in connection with the Service without obtaining every consent required under applicable federal and state law;
- upload, enter, or process personal information that you do not have a lawful basis to collect and use;
- conduct canvassing or enter any premises in violation of applicable ordinances, posted restrictions, or the instructions of a property owner or occupant;
- misrepresent your identity, employer, or affiliation to any prospect or to us;
- reverse engineer, decompile, scrape, resell, rent, sublicense, or create derivative works from the Service;
- circumvent rate limits, usage quotas, authentication, or other technical protections; or
- use the Service in any manner that violates applicable law or infringes the rights of any third party.
We may investigate suspected violations and may suspend or terminate access without prior notice where we reasonably believe a violation has occurred.
8. Your Data
8.1 Ownership
As between you and us, you retain all rights in the data you submit to or generate through the Service ("Customer Data"). You grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, and display Customer Data solely to provide, secure, and, during the beta, troubleshoot the Service.
8.2 Prospect and third party personal information
The Service allows you to record information about third parties, including prospects and customers. You represent and warrant that you have the right to collect and process that information and that you will do so in compliance with applicable privacy and marketing laws. As between you and us, you are the controller of that information and are responsible for responding to requests from the individuals it concerns.
8.3 Aggregated and de-identified data
We may generate de-identified and aggregated statistics that do not identify you, your organization, or any individual, and may use them to operate, secure, and improve the Service. This section does not apply to Google user data, which is governed exclusively by Section 5.
9. Intellectual Property
We and our licensors own all right, title, and interest in the Service, including all software, interfaces, documentation, and trademarks. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes during the beta period. No rights are granted except as expressly stated.
The navigatr name, logo, and product identifiers are our trademarks. You may not use them without our prior written consent.
10. Third Party Services
The Service may interoperate with third party products and services. Your use of those services is governed by their own terms and privacy policies. We do not control them, do not endorse them, and are not responsible for their availability, accuracy, or practices. Loss of access to a third party service may impair or disable related features of the Service without liability to us.
11. Fees
The Service is provided free of charge during the beta. We will give at least sixty (60) days written notice before introducing fees for your account. If you do not wish to pay, you may terminate your account before the fees take effect. Any future paid subscription will be governed by the order form or plan terms presented at the time of purchase.
12. Confidentiality
Each party may receive non-public information of the other. The receiving party will use it only to perform under these Terms, will protect it with at least reasonable care, and will not disclose it except to personnel and advisors bound by comparable obligations, or as required by law with prompt notice where permitted.
13. Term, Suspension, and Termination
These Terms apply from your first use of the Service until terminated. You may terminate at any time by closing your account. We may terminate or suspend your access at any time during the beta, with or without cause, and immediately where we reasonably believe there is a breach, a security risk, or a legal requirement to do so.
Export any data you wish to keep before terminating. Following termination we may delete Customer Data after thirty (30) days. Sections 5.3, 7, 8, 9, 12, and 14 through 19 survive termination.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA, ROUTE, LISTING, OR TRAVEL ESTIMATE WILL BE ACCURATE OR COMPLETE.
Routes and location features are planning aids only. You must exercise independent judgment, obey all traffic and property laws, and must not interact with the Service while operating a vehicle.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OPPORTUNITY, OR LOSS OR CORRUPTION OF DATA, WHETHER OR NOT THE PARTY WAS ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).
These limitations do not apply to liability that cannot be excluded or limited under applicable law, to your obligations under Section 16, or to either party's breach of Section 12.
16. Indemnification
You will defend, indemnify, and hold harmless navigatr and its officers, directors, employees, and agents from and against any claim, demand, loss, liability, damage, fine, penalty, or expense, including reasonable attorneys' fees, arising out of or relating to your Customer Data, your outreach and prospecting practices, your use of the Service, or your breach of these Terms or of applicable law.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict of laws rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
Before filing any claim, the parties will attempt to resolve the dispute informally. You agree to send written notice describing the dispute to legal@getnavigatr.io, and the parties will confer in good faith for thirty (30) days.
If the dispute is not resolved, the parties submit to the exclusive jurisdiction and venue of the state and federal courts located in Oklahoma County, Oklahoma, and each party waives any objection to that venue.
18. Changes to These Terms
We may modify these Terms. If a change is material, we will provide notice through the Service or by email at least thirty (30) days before it takes effect, except where a shorter period is required for legal or security reasons. Your continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and close your account.
19. General
These Terms, together with the Privacy Policy and any order form, are the entire agreement between the parties on this subject and supersede all prior discussions. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will stay in effect. No waiver is effective unless in writing. Neither party is liable for delays caused by events beyond its reasonable control. Nothing in these Terms creates a partnership, agency, or employment relationship, and there are no third party beneficiaries. Notices to us must be sent to the contact designated in Section 20; notices to you may be sent to the email on your account.
